These Terms of Service (“Terms”) govern your use of the website PacificAutoBuyers.ca (the “Website”), operated by Dick Irwin Automotive Ltd., doing business as Westwood Honda (“Company”, “we”, “us”, or “our”).

By accessing or using PacificAutoBuyers.ca, submitting information about a vehicle, requesting a vehicle quote or offer, communicating with us, or using any services provided through the Website, you agree to be legally bound by these Terms, our Privacy Policy, and all applicable laws and regulations.

If you do not agree with these Terms, you should not use the Website or our services.

Website Purpose

PacificAutoBuyers.ca provides an online service that allows vehicle owners and other legally authorized individuals to submit information about a vehicle in order to request an estimated value, quote, appraisal, preliminary purchase offer, or other information related to potentially selling or trading a vehicle.

Information requested through the Website may include, but is not limited to:

Vehicle year, make, model, and trim;
Vehicle Identification Number (“VIN”);
Licence plate information;
Current mileage;
Vehicle condition;
Accident, damage, repair, and maintenance history;
Vehicle options, equipment, features, and modifications;
Photographs of the vehicle;
Ownership and lien information;
Contact information; and
Other information reasonably required to evaluate the vehicle or complete a potential transaction.

Dick Irwin Automotive Ltd. DBA Westwood Honda may engage employees, independent contractors, agents, technology providers, vehicle data providers, dealerships, automotive professionals, and other third-party service providers in connection with the services offered through the Website.

Information provided through the Website is for informational purposes and does not constitute financial, legal, tax, or other professional advice.

Eligibility, Legal Capacity & Authority

By using this Website or submitting a vehicle for a quote, appraisal, or offer, you represent and warrant that:

You are at least 18 years of age;
You reside in Canada;
You have the legal capacity to enter into binding agreements;
You are the legal owner of the vehicle or have the full legal authority and authorization of the legal owner to submit and, where applicable, sell the vehicle;
You have authority to provide all information, photographs, records, and documentation submitted through the Website;
You will disclose all registered and beneficial owners of the vehicle where applicable;
You will disclose any outstanding liens, loans, leases, security interests, financing obligations, or other claims affecting the vehicle; and
You will not enter into a transaction for the vehicle unless you have the legal capacity and authority necessary to complete that transaction.

You agree not to impersonate another individual or provide false, misleading, fraudulent, or unauthorized information.

We may require satisfactory proof of identity, ownership, authority to sell, registration, lien status, or other documentation before completing a vehicle purchase.

Conditional Valuations, Quotes & Offers

By submitting vehicle information through PacificAutoBuyers.ca, you authorize Dick Irwin Automotive Ltd. DBA Westwood Honda and service providers acting on our behalf to review and verify information relating to the vehicle for the purpose of determining its potential value and whether we may be interested in purchasing or accepting the vehicle as a trade.

Any valuation, estimate, quote, or offer generated or communicated through the Website, by email, SMS, telephone, or through another preliminary communication is preliminary, conditional and non-binding unless we expressly state otherwise in a written purchase agreement signed or otherwise formally accepted by the applicable parties.

A preliminary valuation, quote, or offer may be based in whole or in part on information supplied by you, photographs, VIN information, vehicle history information, market information, third-party databases, automated systems, valuation tools, or other available information.

Any preliminary valuation, quote, or offer may be subject to verification of matters including, without limitation:

The vehicle’s actual physical and mechanical condition;
The Vehicle Identification Number (“VIN”);
Current and historical mileage or odometer information;
Vehicle year, make, model, trim, specifications, equipment, options, and features;
Any aftermarket equipment or modifications;
Accident, collision, damage, repair, insurance, maintenance, and vehicle history information;
Ownership and registration;
The seller’s identity and legal authority to sell the vehicle;
Any liens, loans, leases, security interests, financing obligations, or other claims affecting the vehicle;
The accuracy and completeness of information and photographs submitted through the Website; and
Any other documentation or information reasonably required to complete the transaction.

We may increase, decrease, revise, replace, or withdraw a preliminary valuation, quote, or offer if information obtained through inspection or verification differs from the information originally provided or if other information affecting the vehicle’s value or our ability to purchase it becomes known.

Submitting a vehicle through PacificAutoBuyers.ca does not obligate you to sell the vehicle and does not obligate Dick Irwin Automotive Ltd. DBA Westwood Honda to purchase the vehicle.

When a Vehicle Purchase Becomes Binding

An online valuation, estimate, quote, or preliminary offer does not, by itself, constitute a binding agreement to purchase or sell a vehicle.

Unless expressly agreed otherwise in a written agreement, a vehicle purchase becomes binding only after:

We have completed any inspections and verification we consider reasonably necessary;
The vehicle’s identity, condition, mileage, history, equipment, ownership, and lien status have been verified to our satisfaction;
Any changes to the proposed purchase price resulting from that verification have been communicated and accepted;
Any required arrangements regarding outstanding liens or security interests have been agreed upon;
All required transaction and ownership documentation has been provided and accepted; and
The seller and Dick Irwin Automotive Ltd. DBA Westwood Honda have executed or otherwise formally accepted the final written vehicle purchase agreement or other applicable purchase documentation.

The final written purchase agreement and transaction documents will govern the actual purchase of the vehicle and will prevail to the extent of any inconsistency with an earlier online valuation, estimate, quote, offer, email, text message, telephone discussion, or other preliminary communication.

Seller Representations

By submitting a vehicle for evaluation and, if applicable, proceeding with a sale, you represent and warrant, to the best of your knowledge after reasonable inquiry, that the information you provide concerning the vehicle is accurate, complete, and not misleading in any material respect.

This includes information concerning:

The vehicle’s year, make, model, trim, and VIN;
Current mileage and any known odometer discrepancy, replacement, rollback, or other mileage issue;
The vehicle’s physical, cosmetic, and mechanical condition;
Known accidents, collisions, insurance claims, structural damage, flood damage, fire damage, or other material damage;
Known mechanical problems, warning lights, defects, or significant repair requirements;
Rebuilt, salvage, irreparable, or other branded title or registration status;
Material modifications or alterations to the vehicle;
Vehicle equipment, options, and features where represented by you;
Ownership of the vehicle;
Your authority to sell the vehicle; and
Any liens, security interests, leases, financing obligations, or other claims affecting the vehicle.

You agree to notify us if you become aware that material information previously provided is inaccurate or incomplete before the vehicle transaction is completed.

If information provided about the vehicle is materially inaccurate, incomplete, or inconsistent with information obtained through inspection or verification, we may revise or withdraw a preliminary valuation or offer or decline to complete the transaction, subject to any rights or obligations contained in a binding written purchase agreement already entered into by the parties and applicable law.

Vehicle Ownership, Liens & Security Interests

You must have legal authority to sell the vehicle before completing a transaction with us.

You are responsible for accurately disclosing all ownership interests and any outstanding loans, financing, leases, liens, security interests, or other claims relating to the vehicle.

We may verify ownership and lien information using vehicle registration documents, identification, lien searches, lender information, third-party databases, or other reasonable verification methods.

If a vehicle is subject to an outstanding lien, financing balance, security interest, or similar obligation, any potential purchase may be subject to:

Confirmation of the amount required to discharge the obligation;
Verification with the applicable lender, secured party, or other interest holder;
Receiving satisfactory payout or discharge information;
Arrangements satisfactory to us for payment or discharge of the obligation; and
Confirmation that we can obtain clear title to the vehicle as required for the transaction.

Where appropriate, part of the purchase proceeds may be paid directly to a lender or other secured party in order to discharge an outstanding obligation, subject to the terms of the final purchase documentation.

We may decline to complete a purchase where ownership or authority cannot be satisfactorily verified, required owners do not consent to the transaction, a lien or security interest cannot be satisfactorily addressed, or title, documentation, fraud, identity, or other issues prevent us from reasonably completing the transaction.

Vehicle Information & Photographs

You are responsible for ensuring that information and photographs submitted through PacificAutoBuyers.ca accurately represent the vehicle to the best of your knowledge.

You agree to disclose known material information that could reasonably affect the value, ownership, condition, or saleability of the vehicle, including:

Accidents or collisions;
Structural damage;
Mechanical problems;
Warning lights;
Flood or fire damage;
Significant cosmetic damage;
Odometer discrepancies;
Rebuilt, salvage, irreparable, or other branded status;
Significant modifications or alterations;
Outstanding liens or security interests; and
Other significant defects, issues, or circumstances affecting the vehicle.

Failure to disclose relevant information may result in a preliminary valuation, quote, or offer being revised or withdrawn, subject to any binding written agreement and applicable law.

Third-Party & Automated Vehicle Data

PacificAutoBuyers.ca and our vehicle evaluation process may use information obtained or generated through third-party or automated sources.

These sources may include:

VIN decoding services;
Vehicle specification databases;
Vehicle history services;
Registration or lien information sources where lawfully available;
Automotive market and pricing databases;
Wholesale or retail market information;
Automated valuation tools or models; and
Other automotive data providers or technology services.

Information generated by these services may be incomplete, delayed, inaccurate, or inconsistent with the actual vehicle. For example, VIN decoding or vehicle specification data may not accurately identify all equipment, options, trim, modifications, or characteristics of a particular vehicle.

Accordingly, third-party or automated vehicle specifications, history information, market data, and valuations are subject to verification and should not be considered a guarantee of the vehicle’s specifications, history, condition, value, or final purchase price.

We may correct or revise information generated by third-party or automated sources where inspection, documentation, vehicle records, or other verification indicates that the information is inaccurate or incomplete.

Communications Relating to Your Vehicle Request

When you submit a vehicle, request an appraisal or quote, provide contact information, schedule an inspection, or otherwise ask us to provide a service, you authorize us and service providers acting on our behalf to contact you as reasonably necessary to respond to and administer that request.

These communications may include:

Responding to your appraisal or vehicle submission;
Providing or discussing a valuation or offer;
Requesting additional vehicle information, photographs, or documentation;
Verifying information provided by you;
Scheduling an inspection or appointment;
Providing appointment confirmations or reminders;
Discussing ownership, liens, or transaction documentation;
Providing status updates regarding your requested service; and
Other customer service or transactional communications directly related to your request or potential vehicle transaction.

Depending on the contact information you provide and the nature of your request, these communications may occur by telephone, email, SMS/text message, or other reasonable communication methods, subject to applicable law.

These service and transactional communications are separate from consent to receive future promotional or marketing electronic messages.

Marketing Communications & CASL

We will only send commercial electronic messages for promotional or marketing purposes where permitted by applicable law, including Canada’s Anti-Spam Legislation (“CASL”).

Where express consent is required for future marketing emails or SMS/text messages, that consent will be requested separately through an appropriate opt-in mechanism. Providing information for a vehicle appraisal, valuation, quote, or purchase request does not, by itself, constitute unlimited consent to receive unrelated future promotional marketing messages.

Where we request express consent for marketing communications, the applicable consent request is intended to identify the party seeking consent, provide applicable contact information, describe the types of messages for which consent is sought, and explain that consent may be withdrawn, as required by applicable law.

Consent to receive promotional marketing communications is not a condition of requesting a vehicle appraisal or submitting a vehicle through PacificAutoBuyers.ca unless otherwise permitted by law.

You may withdraw your consent to receive marketing electronic messages at any time by:

Using the unsubscribe mechanism contained in an applicable email;
Replying “STOP” to an applicable SMS/text message where supported; or
Contacting us using the contact information provided at the end of these Terms.

We may maintain records relating to electronic communication consent, including the date, time, source, method, scope, and withdrawal of consent, as reasonably necessary to administer our communications and demonstrate compliance with applicable law.

Withdrawal of marketing consent will not necessarily prevent us from sending communications that are reasonably necessary to respond to or complete a vehicle appraisal, transaction, customer service request, or other communication that may lawfully be sent without marketing consent.

SMS Messaging Terms & Compliance

Service-Related SMS Messages

Where applicable, SMS messages relating to a vehicle request may include:

Vehicle quote or appraisal communications;
Requests for vehicle information or photographs;
Appointment confirmations and reminders;
Document requests;
Transaction status notifications; and
Customer support communications.

Promotional or marketing SMS messages will be subject to any additional consent required by applicable law.

Cancellation Instructions

Where supported, you may stop SMS communications by replying “STOP” to an applicable text message.

After sending “STOP”:

You may receive a confirmation message; and
You will no longer receive messages through the applicable SMS messaging program unless you subsequently provide consent or another lawful basis for communication applies.

Carrier Liability

Wireless carriers and telecommunications providers are not responsible for delayed or undelivered messages.

Message & Data Rates

Standard message and data rates may apply depending on your mobile plan and carrier. Message frequency may vary depending on your interactions with us.

Age Restriction

You must be 18 years of age or older to participate in our SMS messaging programs.

SMS Data Protection

Dick Irwin Automotive Ltd. DBA Westwood Honda does not sell SMS opt-in information or phone numbers to third parties for their independent marketing purposes.

PacificAutoBuyers.ca may use or contain links to third-party websites, vehicle information providers, valuation providers, VIN decoding providers, vehicle history providers, technology platforms, mapping services, dealerships, advertisers, or other service providers.

We do not control independent third-party services and cannot guarantee the accuracy, completeness, availability, or reliability of information or services supplied by those third parties.

Your interactions with independent third parties may be subject to their own terms and privacy policies.

To the extent permitted by applicable law, Dick Irwin Automotive Ltd. DBA Westwood Honda is not responsible for damages or losses arising solely from the independent acts, omissions, services, or information of third parties outside our reasonable control.

Nothing in this section limits any responsibility or liability that cannot lawfully be excluded.

Disclaimer of Warranties

PacificAutoBuyers.ca and its Website services are provided on an “as is” and “as available” basis to the fullest extent permitted by applicable law.

We do not guarantee that:

A particular vehicle will receive an offer;
A particular valuation or purchase price will be available;
An initial or preliminary online valuation will equal the final purchase price;
Third-party or automated vehicle information will always be accurate or complete;
The Website will always be available;
The Website will operate without interruption or error; or
The Website will be compatible with every device, browser, or software configuration.

Vehicle valuations may change based on market conditions, vehicle condition, mileage, history, equipment, modifications, demand, inspection results, third-party information, and other relevant factors.

Nothing in these Terms excludes any warranty, condition, right, or remedy that cannot lawfully be excluded or limited.

Limitation of Liability & Statutory Rights

To the fullest extent permitted by applicable law, Dick Irwin Automotive Ltd. DBA Westwood Honda, its affiliates, officers, directors, employees, contractors, partners, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to your use of PacificAutoBuyers.ca or its online services.

Where permitted by law, this may include losses arising from reasonable reliance on preliminary vehicle valuations, lawful changes to or withdrawal of a conditional vehicle quote, Website interruptions or outages, data loss, inaccurate third-party or automated vehicle information, third-party services, or unauthorized access to information despite reasonable safeguards.

Nothing in these Terms is intended to exclude, restrict, waive, or limit any statutory, consumer protection, privacy, or other right or remedy that cannot legally be excluded, restricted, waived, or limited under applicable law.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, or any other liability that applicable law prohibits us from excluding or limiting.

Where a limitation of liability is permitted by applicable law, the total aggregate liability of Dick Irwin Automotive Ltd. DBA Westwood Honda arising solely out of the Website or its online services will not exceed the greater of one hundred Canadian dollars ($100 CAD) or the amount paid by the user directly to Dick Irwin Automotive Ltd. DBA Westwood Honda for the applicable online service during the preceding twelve (12) months, except to the extent a greater liability is required by applicable law or arises under a separate binding vehicle purchase agreement.

Any rights and remedies arising under a completed or binding vehicle purchase agreement may also be governed by that agreement and applicable law.

Indemnification

To the extent permitted by applicable law, you agree to indemnify Dick Irwin Automotive Ltd. DBA Westwood Honda and its affiliates, employees, partners, and service providers against third-party claims, liabilities, damages, losses, costs, or reasonable expenses to the extent directly arising from:

Your fraudulent or unlawful use of PacificAutoBuyers.ca;
Your material breach of these Terms;
Fraudulent, intentionally misleading, or knowingly materially inaccurate information submitted by you;
Your sale or attempted sale of a vehicle that you knowingly do not own or lack legal authority to sell;
Your knowing failure to disclose a lien, security interest, or ownership claim that you were required to disclose;
Your submission of information or materials you knowingly do not have authority to provide; or
Your violation of applicable law or third-party rights.

This indemnification obligation applies only to the extent permitted by applicable law and will not require you to indemnify us for losses caused by our own negligence, wilful misconduct, breach of law, or other conduct for which indemnification cannot lawfully be required.

Nothing in this section limits any statutory or other legal rights that cannot be waived or limited.

Website Security & Prohibited Use

You agree not to:

Attempt to gain unauthorized access to the Website or its systems;
Interfere with the Website’s operation or security;
Use automated systems, bots, scripts, or other methods to abuse Website functionality;
Submit fraudulent or intentionally inaccurate vehicle inquiries;
Attempt to manipulate vehicle valuations or Website functionality;
Introduce malware or harmful code; or
Use the Website for unlawful purposes.

We reserve the right to restrict or block access where we reasonably believe the Website is being abused or used unlawfully.

Termination

We reserve the right to suspend, restrict, or terminate access to PacificAutoBuyers.ca or its services where we reasonably believe a user has violated these Terms, abused the Website, engaged in fraudulent activity, or violated applicable law.

Upon termination, your authorization to use the Website immediately ceases. Termination of Website access does not affect rights or obligations arising under any separate binding vehicle purchase agreement already entered into between the applicable parties.

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada.

Subject to any rights you may have under applicable consumer protection legislation or other laws that cannot be waived, disputes arising from these Terms or your use of the Website shall be resolved in the courts of British Columbia.

Nothing in these Terms limits any statutory jurisdiction, right, or remedy that applicable law provides and that cannot legally be waived or restricted.

Changes to These Terms

We reserve the right to modify these Terms from time to time.

Updated versions will be posted on PacificAutoBuyers.ca with a revised effective date.

Your continued use of the Website following the posting of updated Terms constitutes acceptance of those Terms to the extent permitted by applicable law.

Changes to these Website Terms will not retroactively alter the terms of a binding vehicle purchase agreement already entered into between the applicable parties unless agreed by those parties or permitted by applicable law.
